1. About Proppy

Proppy is a mobile app for prop firm traders in the United States.

Proppy helps users track prop firm payouts, prop firm costs, receipts, optional bank imports, dashboard metrics, and exportable record-keeping reports.

Depending on the features available to you, Proppy may allow you to:

• Track payouts and prop-related costs.
• View profit and cost metrics.
• Manually log transactions.
• Upload receipts or supporting documents.
• Optionally connect a bank account through Plaid to import read-only transaction data.
• Review and confirm imported transactions before they enter your ledger.
• Generate record-keeping exports.
• Receive optional app notifications.

Proppy is intended for users in the United States. Proppy is not currently directed to users outside the United States.

2. Important Financial and Tax Disclaimers

Proppy provides record-keeping and export tools only.

Proppy is not:

• A bank.
• A payment institution.
• A money transmitter.
• A broker.
• An investment adviser.
• A financial adviser.
• A tax adviser.
• A tax preparer.
• A tax filing service.
• An accountant.
• A substitute for professional advice.

Proppy does not move money, hold funds, initiate payments, initiate transfers, trade on your behalf, or access your funds.

Proppy does not prepare, sign, submit, or file tax returns or tax forms with the IRS, state tax authorities, local tax authorities, or any other government authority.

Any tax estimate, tax set-aside amount, dashboard metric, category, report, or export shown in Proppy is provided for general record-keeping and budgeting purposes only.

You are responsible for checking your records, confirming transaction classifications, reviewing exports, and consulting a qualified professional about your tax, accounting, legal, or financial obligations.

3. Eligibility

You must be at least 18 years old to use Proppy.

By using Proppy, you confirm that:

• You are at least 18 years old.
• You are legally able to enter into these Terms.
• You are using Proppy in the United States.
• Your use of Proppy complies with applicable law.

You may not use Proppy if you are located in a place where we do not make Proppy available or where using Proppy would violate applicable law.

4. Your Account

To use Proppy, you must create an account.

You agree to provide accurate, current, and complete account information and to keep that information updated.

You are responsible for:

• Keeping your login details secure.
• Keeping your device secure.
• Keeping your email account secure.
• All activity that occurs under your account.

You must notify us promptly at support@forgewealth.co.uk if you believe your account has been accessed without permission.

We may require additional verification for certain actions, including connecting, reconnecting, or disconnecting a bank account.

7. Imported Transactions

• Imported bank transactions are not automatically added to your confirmed Proppy ledger.
• Imported transactions appear for your review.
• Unconfirmed imported transactions do not affect your dashboard totals, reports, tax estimates, record-keeping exports, or confirmed ledger records.
• You are responsible for reviewing imported transactions before confirming them.
• Once you confirm an imported transaction, it may be included in your ledger, dashboard, reports, and exports.

8. AI-Suggested Classifications

Proppy may use automated or AI-assisted systems to suggest categories for imported transactions.

These suggestions are provided to help reduce manual work. They are not final.

AI-suggested classifications do not automatically change your confirmed ledger, dashboard totals, reports, tax estimates, or exports unless you review and confirm them.

AI output is not tax advice, accounting advice, legal advice, financial advice, or professional advice.

You are responsible for reviewing all suggested classifications before relying on them.

9. Your Responsibilities

You are responsible for:

• Using Proppy only for lawful personal record-keeping.
• Providing accurate account information.
• Keeping your account, device, email, password, and verification methods secure.
• Reviewing imported transactions before confirming them.
• Verifying manual entries, categories, notes, receipts, attachments, calculations, dashboards, reports, and exports.
• Keeping your own backup records where appropriate.
• Consulting qualified professionals before making tax, accounting, legal, financial, or trading decisions.
• Complying with all applicable federal, state, local, and other tax laws.
• Making sure you have the right to upload any content you submit to Proppy.
• Paying all subscription charges owed through the applicable app store.
• Complying with these Terms and all applicable third-party terms.

10. Acceptable Use

You may not:

• Use Proppy for unlawful, fraudulent, abusive, deceptive, or harmful purposes.
• Use Proppy to evade taxes or help anyone else evade taxes.
• Use Proppy to commit fraud or misrepresent financial records.
• Share, sell, rent, or transfer your account.
• Circumvent or attempt to circumvent Proppy's paywall, subscription checks, security controls, or access restrictions.
• Access or attempt to access another user's account, data, bank connection, exports, or content.
• Reverse engineer, decompile, disassemble, scrape, crawl, or attempt to extract source code or underlying data, except to the extent such restrictions are prohibited by law.
• Interfere with or disrupt Proppy, its servers, systems, APIs, databases, authentication systems, or integrations.
• Upload unlawful, infringing, defamatory, abusive, fraudulent, or malicious content.
• Upload viruses, malware, corrupted files, or harmful code.
• Use bots, scripts, automated systems, or excessive requests to abuse the service.
• Misrepresent your identity or affiliation.
• Use Proppy in a way that violates the terms of Plaid, Apple, Google, your bank, your prop firm, or any other third party.
• Use Proppy outside the United States or in a jurisdiction where Proppy is not made available.

We may suspend or terminate access if we believe you violated this section.

12. Receipts and Attachments

Proppy may allow you to upload receipts or supporting documents.

You must not upload content that:

• You do not have the right to upload.
• Violates another person's rights.
• Contains malware or harmful code.
• Is unlawful, fraudulent, misleading, or abusive.
• Contains unnecessary sensitive information not needed for your record-keeping.

Proppy may request optional device permissions, such as camera, photo library, notifications, or location, depending on the features you choose to use.

Device permissions are explained further in our Privacy Policy.

13. Tax Pack Exports

• Proppy may allow you to generate exportable record-keeping bundles for selected date ranges.
• Exports may include summaries, reports, transaction records, and selected attachments.
• Exports are generated from confirmed ledger data for the date ranges you select.
• Unconfirmed imported transactions are not included in exports.
• Export download links may expire after a limited time.
• You are responsible for downloading, saving, checking, and backing up exports you wish to keep.
• Proppy does not guarantee that any export will be accepted by any accountant, tax professional, tax software, tax authority, auditor, government agency, or other third party.
• You are solely responsible for reviewing the accuracy, completeness, and suitability of any export before using it or providing it to anyone else.

The Privacy Policy explains how we collect, use, disclose, store, and protect information in connection with Proppy.

By using Proppy, you acknowledge that your information will be handled as described in the Privacy Policy.

15. Third-Party Services

Proppy depends on third-party services to operate certain features.

These may include services for bank linking, app distribution, in-app purchases, subscription management, hosting, storage, authentication, crash reporting, AI-assisted classification, notifications, and customer support.

Third-party services may have their own terms, privacy policies, availability limits, fees, restrictions, security practices, and data practices.

We are not responsible for third-party services, third-party outages, third-party data, third-party decisions, or third-party failures outside our reasonable control.

Your use of third-party services may be subject to separate terms between you and the third party.

17. Service Availability and Changes

• Proppy is provided on an "as is" and "as available" basis.
• We do not guarantee that Proppy will be uninterrupted, secure, error-free, available at any particular time, or free from defects.
• Proppy may be unavailable due to maintenance, updates, security events, technical issues, third-party outages, app store issues, bank issues, network failures, cloud provider failures, or events outside our reasonable control.
• We may add, remove, suspend, limit, modify, replace, or discontinue features at any time.
• We do not provide a guaranteed uptime service-level agreement.

18. Account Deletion, Suspension, and Termination

19. Intellectual Property

Forge Wealth Group Ltd owns or licenses all rights in Proppy, including the app, software, code, design, interfaces, dashboards, workflows, text, graphics, logos, branding, documentation, databases, algorithms, reports, and other materials.

The name "Proppy", related marks, logos, product names, graphics, and branding belong to Forge Wealth Group Ltd or its licensors.

Subject to these Terms and your active subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Proppy for lawful personal record-keeping purposes.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Proppy except to the extent such restrictions are prohibited by law.

20. Feedback

If you provide suggestions, ideas, requests, comments, improvements, or feedback about Proppy, you agree that we may use them without restriction and without compensating you.

21. Disclaimers of Warranties

To the maximum extent permitted by law, Proppy and all related features, calculations, data, reports, exports, integrations, AI suggestions, notifications, bank imports, dashboards, and content are provided "as is" and "as available", without warranties of any kind.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and security.

We do not warrant that:

• Proppy will meet your needs.
• Proppy will be uninterrupted, secure, timely, or error-free.
• Bank imports will be complete, current, or accurate.
• AI classifications will be correct.
• Tax estimates, set-aside amounts, dashboards, calculations, or reports will be accurate.
• Exports will be accepted by any accountant, tax professional, tax authority, tax software, auditor, or government agency.
• Any record, category, report, or export will comply with IRS, state, local, accounting, legal, or professional requirements.
• Any errors will be corrected.
• Proppy will remain compatible with every device, operating system, bank, app store, or third-party service.
• Proppy will produce any particular tax, financial, accounting, trading, prop firm, or business outcome.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

22. Limitation of Liability

To the maximum extent permitted by law, Forge Wealth Group Ltd and its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers will not be liable for:

• Indirect, incidental, special, consequential, exemplary, or punitive damages.
• Lost profits, lost revenue, lost business, lost opportunity, lost savings, lost data, or loss of goodwill.
• Tax penalties, interest, audit costs, filing errors, underpayment, overpayment, missed deductions, missed deadlines, incorrect filings, rejected filings, or tax authority disputes.
• Trading losses, prop firm losses, account failures, challenge failures, denied payouts, delayed payouts, or financial losses.
• Errors in manual entries, imported transactions, AI suggestions, classifications, dashboards, calculations, tax estimates, exports, or reports.
• Your reliance on Proppy without professional advice.
• Unauthorized access caused by your failure to secure your account, device, email account, password, or verification methods.
• Third-party service failures, including banks, app stores, bank-linking providers, hosting providers, AI providers, mobile carriers, or internet providers.
• Data loss where you failed to download, save, or back up exports or records.

To the maximum extent permitted by law, our total liability for all claims relating to Proppy or these Terms will not exceed the greater of:

• The amount you paid for Proppy during the 12 months before the event giving rise to the claim; or
• US $100.

These limits apply whether the claim is based on contract, tort, negligence, strict liability, statute, warranty, or any other legal theory, even if we were advised that damages were possible.

Nothing in these Terms limits liability that cannot legally be limited under applicable law.

23. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Forge Wealth Group Ltd and its directors, officers, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

• Your use or misuse of Proppy.
• Your violation of these Terms.
• Your violation of applicable law.
• Your tax filings, tax positions, financial records, accounting decisions, or financial decisions based on or related to Proppy.
• Your content, including receipts, attachments, notes, categories, and transaction records.
• Your violation of third-party rights.
• Your breach of third-party terms.
• Your fraud, misconduct, negligence, or unauthorized use of another person's information.
• Your use of Proppy outside the United States or in a jurisdiction where Proppy is not made available.

We reserve the right to control the defense of any claim subject to indemnification. You agree to cooperate with us in defending such claims.

24. Disputes and Governing Law

Before filing a claim, you agree to contact us at support@forgewealth.co.uk and try to resolve the dispute informally.

Your notice should include your name, account email, a description of the dispute, and the relief you seek.

We will attempt to resolve the dispute informally within 30 days after receiving your notice.

These Terms and any dispute relating to Proppy will be governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except where applicable law requires otherwise.

If a dispute is not resolved informally and is not required to be handled in another forum by applicable law, the state or federal courts located in Delaware will have jurisdiction.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where appropriate.

25. Changes to These Terms

We may update these Terms from time to time.

When we update these Terms, we will post the updated version at: https://joinproppy.com/terms

We will update the "Last updated" date at the top of the Terms.

If changes are material, we may notify you through the app, by email, through the app store, or by another reasonable method.

Your continued use of Proppy after updated Terms become effective means you accept the updated Terms, where permitted by law.

If you do not agree to updated Terms, you must stop using Proppy and cancel your subscription through the applicable app store.
